NOX IS AN AI-POWERED PERSONAL COACHING APPLICATION DESIGNED TO HELP USERS SET, TRACK, AND ACHIEVE PERSONAL GOALS THROUGH STRUCTURED ACCOUNTABILITY FRAMEWORKS CALLED "PACTS." THE PLATFORM PROVIDES NOX AI (AN INTEGRATED AI SYSTEM THAT PROVIDES PERSONALISED COACHING, AUTOMATED PROOF VERIFICATION, AND PACT CHAT ASSISTANCE), AND SOCIAL ACCOUNTABILITY FEATURES INCLUDING LEADERBOARDS AND GROUP CHATS. NOX DOES NOT INVOLVE ANY MONETARY STAKES, WAGERING, VIRTUAL CURRENCIES, OR FINANCIAL TRANSFERS BETWEEN USERS. THE PLATFORM IS DESIGNED FOR PERSONAL DEVELOPMENT AND WELLNESS PURPOSES ONLY.
1. INTRODUCTION
Please read these Terms of Use carefully before registering on the Platform. These Terms of Use ("Terms") constitute a legally binding agreement made between any individual accessing or using the Nox mobile application available on the Apple App Store and the Google Play Store, and the Nox marketing website at www.nox.today, as well as any other media form, media, mobile website or mobile application related, linked or otherwise connected thereto (collectively, the "Platform", "Us", "We", "Nox"). The Platform is owned and operated by M/s Mowgli Brothers Studios Private Limited ("Company").
By registering on and using the Services of the Platform, you ("User", "Participant", "You", "Your") agree to comply with and be bound by these Terms. If You do not agree with these Terms, You are advised to discontinue using this Platform immediately.
These Terms, Privacy Policy, Cookie Policy, and Cancellation and Refund Policy (collectively referred to as "Platform Policies") form a binding legal agreement between You and the Company, basis which You may visit, access or use the Platform and its services ("Services"). You agree that by accessing the Platform, You have read, understood, and agree to be bound by all of these Terms and all other Platform Policies. If You do not agree with all of these Terms, You are expressly prohibited from using the Platform and You must discontinue use immediately.
Supplemental rules or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We shall notify all users about any significant changes in these Terms.
For the avoidance of doubt, "applicable laws" means all applicable statutes, enactments, laws, ordinances, treaties, conventions, protocols, bye-laws, rules, regulations, guidelines, notifications, notices, and/or judgments, decrees, injunctions, writs or orders, instructions, decisions of any court or and awards or other requirements or official directives of any governmental authority, in any jurisdiction, as may be applicable to the relevant person within the territory of India.
Definitions
A "User" is any individual who has created an account on the Platform.
A "Participant" is a User who is involved in a Pact in any capacity, including solo Pacts and multiplayer Pacts.
"Pact Members" refers collectively to all Users associated with a Pact.
A "Pact" is a structured accountability commitment created on the Platform, with defined goals, deadlines, frequency, and proof requirements. Pacts may be solo (one Participant) or multiplayer (multiple Participants).
"Nox AI" is the Platform's AI system, powered by third-party large language models, which operates across multiple surfaces within the Platform, including one-on-one coaching conversations, automated evaluation of proof submissions, and assistance within multiplayer Pact group chats.
"Proof" is evidence submitted by a Participant to demonstrate completion of a Pact goal, which may be a photograph (JPEG, PNG, HEIC) or a written statement ("Bond").
"Integrity Score" is a gamified metric reflecting a User's historical reliability in completing Pacts.
"Acceptance Token" is a per-Pact counter, earned by having proof submissions accepted, that may be spent to appeal a missed deadline or rejected proof within that Pact. Acceptance Tokens expire at the Pact's final deadline, cannot be purchased or transferred, and have no monetary value.
"AI Tokens" refer to the usage allocation for interactions with Nox AI, consumed when you engage with Nox AI in any of its surfaces.
"Pro Subscription" is the paid subscription tier that removes the Free Tier limits on active Pact participation and grants expanded Nox AI capacity.
BY ACCESSING, USING THE SERVICES, OR BY CREATING AN ACCOUNT AND CLICKING "SIGN UP" OR A SIMILAR OPTION, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU SHOULD IMMEDIATELY CEASE AND DESIST FROM ACCESSING THE PLATFORM.
By accepting these Terms, You agree and consent to receive communications from Us and/or Our partners, licensors or associates for any purpose through the following modes:
E-mails
Push Notifications
In-app notifications and reminders
Updates, messages, and personal messages
Promotional content and/or advertisements
Direct notification to your account
By any other methods that We may consider fit
2. ELIGIBILITY
By visiting, accessing and using the Services of the Platform, You agree and undertake that You:
Are above 18 years of age; the Platform is solely intended for Users who are eighteen (18) years of age or older.
Are of sound mind and are competent to contract.
Have read, understood and agreed to the Terms and agree to be bound by these Terms.
Will comply with all Platform Policies, including any terms and rules governing the activities available on the Platform, and will remain in compliance with all applicable laws at all times.
Will abide by the individual rules that regulate the Pacts that You have joined or created.
Are not in violation of any agreement or contract that you may have executed with third parties.
If you are found in violation of any of the conditions mentioned in this document, your account may be suspended or terminated immediately at our sole discretion.
3. CREATION OF AN ACCOUNT
Upon accessing the Platform and in order to avail the Services, You are required to register on the Platform and create an account ("Account"). Registration is available through:
Email and password
Google Sign-In (OAuth)
Apple Sign In
At the time of creating Your Account and/or at any time during the utilisation of the Services, You may be required to provide information such as:
Full name
Email address
Date of birth
Gender
Profile photograph
Authentication services are provided by Clerk, a third-party identity provider. By creating an account, you agree to comply with Clerk's terms of service and privacy policies in addition to these Terms.
4. USAGE OF THE PLATFORM
You agree to using the Platform in a manner consistent with applicable laws and regulations. Additionally, you represent, warrant and agree that any material submitted by You or used to create Pacts on the Platform does not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal and/or proprietary rights.
You will not use the Platform for any purposes other than availing the Services provided by the Company, including any unauthorized commercial purpose.
You understand that participation in Pacts is entirely voluntary and designed for personal growth and accountability. The Platform provides AI coaching, automated proof verification, and social engagement features to support your goals. Fulfilling the goals of a Pact is entirely dependent on your mental ability, willpower, resolve, determination, and/or physical capability to engage and complete the commitment.
You understand that technical issues such as internet connectivity problems or device malfunctions may affect your ability to submit proof of goal completion. While we strive to maintain platform reliability, such technical issues do not constitute grounds for disputes, as all commitments are voluntary and self-directed.
You agree not to post any offensive, obnoxious, indecent or unsolicited content on the Platform including but not limited to any advertisement, promotional material, your personal information or such other details. In the event of such posting, you shall keep the Company/Platform indemnified from and against all direct and indirect damage/loss resulting therefrom.
5. NOX AI AND ACCEPTABLE USE
5.1 Nox AI Surfaces
Nox AI is the Platform's AI system, powered by third-party large language models. It operates across the following surfaces:
Coaching Conversations: Personalised one-on-one coaching, goal-setting assistance, personalised insights, and motivational nudges.
Proof Verification: Automated evaluation of proof submissions against Pact requirements, including image analysis and metadata extraction.
Pact Chat Assistance: In multiplayer Pact group chats, Nox AI provides activity announcements, rule clarifications, and moderation assistance.
Long-term Memory: Nox AI stores usage patterns, preferences, and contextual information from your interactions to improve coaching quality over time.
5.2 AI Content Disclaimer
BY USING NOX AI, YOU ACKNOWLEDGE AND ACCEPT THAT:
(a) AI technology is inherently probabilistic and may generate inaccurate, incomplete, biased, or inappropriate content;
(b) AI-generated content is provided solely for informational and motivational purposes and does NOT constitute medical, psychological, legal, financial, fitness, nutritional, or any other professional advice;
(c) You are solely responsible for verifying the accuracy, relevance, and appropriateness of any AI-generated output before relying on or acting upon it;
(d) We make no warranties regarding the accuracy, completeness, reliability, or fitness for purpose of AI-generated content;
(e) You waive any claims for errors, omissions, or damages arising from the use of AI features;
(f) AI coaching does not replace professional consultation. If you have health, mental health, or other professional concerns, consult a qualified professional;
(g) Similar or identical AI outputs may be generated for different users due to the nature of AI technology.
5.3 Prohibited AI Use
You shall not use Nox AI in any of its surfaces (including Coaching, Proof Verification, Pact Chat assistance, or any other AI-powered functionality on the Platform) to:
Illegal and Harmful Content
Generate, solicit, or distribute content that facilitates, promotes, or instructs on illegal activities, including but not limited to drug manufacturing, weapons procurement, fraud, or any criminal offence under applicable laws
Generate, solicit, or distribute child sexual abuse material (CSAM) or any content that sexualises or exploits minors
Generate content promoting or glorifying violence, terrorism, self-harm, or suicide
Generate instructions for creating weapons, explosives, biological agents, chemical agents, or other dangerous materials
Sexually Explicit and Abusive Content
Submit or attempt to generate sexually explicit, pornographic, or obscene content through any AI feature
Submit violent, gory, or otherwise disturbing imagery or text as input to any AI feature
Use AI features to generate non-consensual intimate imagery or deepfakes of real individuals
Use AI features to create content that harasses, bullies, threatens, intimidates, stalks, or demeans any individual or group
Hate Speech and Discrimination
Use AI features to generate hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, caste, or any other protected characteristic
Use AI features to generate disinformation, propaganda, or content designed to manipulate, deceive, or mislead
Fraud and Deception
Use AI features to impersonate any individual, entity, or AI system
Use AI features to generate fraudulent documents, fake evidence, or misleading proof submissions
Represent AI-generated content as human-created where such distinction is material
Use AI features to facilitate phishing, social engineering, identity theft, or other deceptive practices
System Manipulation and Adversarial Attacks
Attempt to circumvent, bypass, or disable AI safety filters, content moderation, or usage limits through prompt injection, jailbreaking, or any other adversarial technique
Attempt to extract, reverse-engineer, or reconstruct AI model weights, training data, system prompts, or proprietary algorithms
Deliberately submit inputs designed to cause the AI to malfunction, produce harmful outputs, or violate its operating guidelines
Use automated scripts, bots, or tools to interact with AI features at scale or beyond normal human usage patterns
Surveillance and Privacy Violations
Use AI features to compile, aggregate, or profile personal information about other users or third parties without their consent
Use AI features for surveillance, tracking, or monitoring of individuals
Misrepresentation of AI Capabilities
Rely on AI outputs as a substitute for professional advice in medical, legal, financial, psychological, or other regulated domains
Make high-stakes personal decisions (health, safety, legal, financial) based solely on AI-generated content without independent professional verification
5.4 AI Token Usage
Interactions with Nox AI are subject to usage limits based on your subscription tier:
Free Tier: A limited Nox AI token allowance that refreshes daily.
Pro Subscription: Approximately 10× the Free Tier allowance, refreshed monthly.
The Nox AI token allowance covers all server-side AI activity initiated by Your conversations with Nox AI, including but not limited to one-on-one Wingman chats, Nox AI activity in multiplayer Pact group chats, and background processing that supports those conversations (such as memory extraction from Your messages). Background AI work not initiated by a User message — including automated proof verification, coaching summaries, and notification content generation — is borne by Nox and does not deduct from Your allowance.
Token limits are designed to ensure fair access for all Users. Any attempt to circumvent, exploit, or artificially inflate token usage may result in account suspension or termination.
5.5 Third-Party AI Providers
The Platform utilises AI services provided by third-party providers, including OpenAI. By using Nox AI, you acknowledge and agree to be bound by these providers' terms of service and usage policies. Nox is not responsible for changes to third-party provider terms, interruptions in third-party AI services, or any claims arising from your use of third-party AI services through the Platform.
6. RESPONSIBLE USE AND PROHIBITED ACTIVITIES
6.1 Principles of Responsible Use
Participants are expected to join or create Pacts with genuine intention and realistic ability to fulfil their commitments. Insincere participation undermines the supportive community environment. While accessing the Platform, you must:
Comply with Indian laws, including the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, and the Digital Personal Data Protection Act, 2023.
Respect intellectual property rights. Do not share, copy, or distribute unauthorized content.
Engage in goal-setting activities and Pacts responsibly, ensuring fair play and ethical participation.
Maintain civility and ensure that there is no harassment, threats, hate speech, or bullying.
Ensure content shared is appropriate, avoiding misinformation, explicit material, or anything harmful to individuals or communities.
Uphold privacy standards. No doxxing, unauthorized sharing of personal data, or surveillance of others.
Use strong security practices, such as safeguarding login credentials.
Report security vulnerabilities responsibly, rather than exploiting them.
6.2 Prohibited Activities: General
As a User of the Platform, you agree not to:
Engage, organise, or participate in any form of online gaming, gambling, betting, wagering, or any other form of real money gaming/gambling through the Platform.
Systematically collect or extract data or content from the Platform to create a compilation, database, or directory without our written consent.
Engage in unauthorized activities such as harvesting or collecting email addresses or other contact information of other Users by electronic or other means.
Use the Platform in any prohibited or unlawful manner or in any manner that could damage, disable, overburden or impair the Platform.
Use automated scripts, bots, or other means to collect information from or otherwise interact with the Platform.
Upload, transmit, post, share, store or otherwise make available any content that is harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, invasive of privacy or publicity rights, hateful, racist, or otherwise objectionable.
Upload photographs, audios, videos or other media of individuals without their informed, voluntary consent. Submissions that lack proper consent may be removed.
Register for more than one account, register for an account on behalf of an individual other than yourself, or register for an account on behalf of any group or entity.
Impersonate any person, or falsely state or otherwise misrepresent yourself, your age, or your affiliation with any person or entity.
Upload any material that contains software viruses, malware, or other computer codes designed to interrupt, destroy or limit the functionality of any software or hardware.
Intimidate or harass other Users.
Use or attempt to use another User's account, service or system, or create a false identity on the Platform.
Bypass, disable, or interfere with security features, including those restricting usage or enforcing Platform limitations.
Deceive or mislead Us or other Users, especially when attempting to obtain sensitive information.
Misuse our support services or submit false reports of abuse or misconduct.
Use the Platform for advertising or selling goods and services without authorization.
6.3 Prohibited Pact Content
No individual shall create, participate in, promote, or continue any Pact that:
Results in, contributes to, encourages, or is likely to result in any criminal act as defined under the Bharatiya Nyaya Sanhita, 2023, including but not limited to:
Offences resulting in physical or mental harm (battery, assault, homicide, etc.)
Offences relating to fraud, deception, and economic crimes
Offences against women and children
Offences against public order, decency, and morality
Offences related to intimidation, threats, and coercion
Cybercrimes and digital fraud
Terrorism and national security offences
Drug-related and substance abuse offences
Encourages illegal drug use, underage drinking, or any activities beyond legally permissible limits
Contains self-harm or extreme risk-taking behaviours, including but not limited to starvation, over-exercise beyond safe limits, and extreme dieting
Requires dangerous physical stunts, reckless driving, or any activity that puts users or others at significant risk of injury or death
Involves weapons, explosives, or hazardous materials
Promotes bullying, harassment, or any form of abuse (physical, verbal, or psychological)
Involves non-consensual activities or exploitation of minors or vulnerable individuals
Encourages violence, hate speech, discrimination, or any form of social harm
Promotes excessive or exploitative labour, unpaid work, or servitude
Involves unethical treatment of animals, including animal cruelty
Encourages or requires public disturbances, vandalism, or trespassing
Involves engagement in unnatural and impractical methods that could harm general health and wellbeing
6.4 Prohibited Proof Submissions
You shall not:
Submit false, manipulated, or fraudulent proof of goal completion
Use AI-generated, altered, deepfaked, or synthetic media to falsify proof submissions
Coordinate with other Users to provide misleading verification of accountability commitments
Upload proof that contains private or sensitive information of others without their explicit consent
Share explicit or inappropriate content, including nudity, sexually suggestive material, or violent imagery as proof submissions
6.5 Unfair Advantage and Gaming the System
Participants must not engage in any conduct that provides an unfair advantage and violates the intended spirit of a Pact. This includes, but is not limited to:
Faking or fabricating proof submissions
Exploiting technical loopholes or device integrations (e.g., spoofing data, auto-logging)
Using multiple accounts to manipulate Pact outcomes or bypass platform rules
Engaging in extreme, unsustainable measures intended to distort genuine effort
Attempting to manipulate Nox AI through adversarial proof submissions
6.6 Commercial Use Restrictions
Users are strictly prohibited from using the Platform for unauthorized commercial purposes. This includes, but is not limited to:
Promoting third-party businesses
Recruiting for multi-level marketing (MLM) schemes
Advertising personal or external paid services
Directing users to off-platform monetised programs without prior written approval from Nox
Engaging in any off-platform monetisation or commercialisation of Pact outcomes
6.7 Account Integrity
Users shall not create multiple or fake accounts to manipulate Pact outcomes or bypass Platform rules. Account sharing and the use of impersonating or duplicate accounts may result in suspension or termination of your account.
7. OWNERSHIP & LICENSING
Any and all Pacts created through the Platform are the sole responsibility of the creator and other Participants.
Participants shall ensure that any Pacts created on the Platform are within the constraints provided through these Terms and other Platform Policies and shall not be prohibited under the applicable laws of India.
You hereby state that you will observe strict adherence to our Platform Policies, based on which we may restrict or disable Your access if You violate our rules.
8. PARTICIPANT REPRESENTATIONS
By accessing the Platform, You confirm and guarantee that:
You are eligible and competent to use the Platform and avail its Services. You have the legal authority to enter into this agreement and will abide by these Terms.
Any registration details You provide will be truthful, accurate, up-to-date, and complete. We shall not be liable against any claim relating to the accuracy, completeness, and correctness of any information You provide Us. We may require You to verify the correctness of such information, and failure to do so may result in limited access to Services.
You understand that Pacts are voluntary personal accountability frameworks and do not constitute legally binding obligations between Users.
You voluntarily choose to participate in goal-setting activities and assume responsibility for your own wellness and safety. You agree to indemnify and hold Nox harmless with respect to any claims associated with Your use of the Platform.
You will not use the Platform for any unlawful, unauthorized, or commercial purposes and your use will comply with all applicable laws in India.
You have the experience and requisite skills to participate in Pacts and are not aware of any physical or mental condition that would impair your capability to fully participate.
Failure to comply with these Terms may result in the removal, suspension, or termination of your account, along with any legal consequences under applicable Indian law.
9. PACT MONITORING AND DISPUTES
Nox shall at its sole discretion choose to monitor Pacts on the Platform in the event Nox reasonably feels that the Pact violates any provisions of the Platform Policies or applicable laws.
9.1 Proof Verification, Appeals, and Contests
When you submit proof for a Pact commitment, Nox AI evaluates the submission against the Pact's requirements and returns an accepted or rejected verdict. Each acceptance adds one Acceptance Token to your balance for that Pact.
Appeals: If your proof is rejected or you miss a deadline, you may appeal by spending two (2) Acceptance Tokens. The appeal re-runs Nox AI evaluation on fresh evidence you submit.
Contests: If you are a Participant in a Pact, you may contest another Participant's accepted proof if you believe it is fraudulent or misleading. Contests do not cost Acceptance Tokens. Each contest triggers automatic re-evaluation by Nox AI; an upheld contest will reverse the original acceptance.
Manual Review: If Nox AI re-evaluation does not resolve a contested or appealed proof to your satisfaction, you may request manual review by Nox's moderation team. If you are out of Acceptance Tokens but still believe your proof deserves manual review, email support@nox.today with a screenshot of the proof decision and relevant context. Nox's decision on manual review is final and binding.
Acceptance Token Economy: Acceptance Tokens are earned only through proof acceptance. You begin each Pact with a balance of zero. Tokens are scoped to a single Pact and expire at that Pact's final deadline. Acceptance Tokens cannot be purchased, transferred between Users, or redeemed for anything of value.
You acknowledge that Nox AI verification is automated and may occasionally produce incorrect results. Nox reserves the right to manually review, override, or reverse any verification decision at its sole discretion.
9.2 Dispute Resolution within Pacts
Nox reserves the right to intervene in disputes between Participants. Upon written intimation of such dispute, Nox shall ensure impartial adjudication and evaluation of evidence submitted by either party. Nox's decision in any dispute shall be final and binding.
The approval or verification of a Participant's submission does not automatically entitle the Participant to be deemed successful in a Pact. All verified submissions remain subject to audit and oversight by Nox. Nox reserves the right to review, investigate, and revoke any previously accepted verification in cases where fraud, manipulation, collusion, or any other form of misconduct is suspected or reported.
Participants acknowledge and accept that verification is not final or binding if subsequently found to be influenced by invalid, dishonest, or manipulated submissions.
10. PLATFORM INTEGRITY AND ANTI-CHEATING
Nox upholds a strict commitment to fairness, integrity, and honest participation across all Pacts.
Nox reserves the right to conduct additional audits of any Participant's performance or submissions, either randomly or in response to suspicion of non-compliance, manipulation, or misconduct.
Nox reserves the unilateral right to deny access to or suspend the participation of any Participant in any Pact, temporarily or permanently, without providing specific reasons, particularly where there is reason to suspect abuse of the Platform or its rules.
By participating in any Pact, the Participant acknowledges that all decisions taken by Nox, including those relating to disputes, audits, and eligibility, shall be final, binding, and conclusive.
Participants are strictly prohibited from submitting any false, manipulated, or fraudulent information. Any such conduct shall constitute a material breach of the Platform's policies and may subject the offender to disqualification, account suspension/termination, and wherever applicable, criminal prosecution under relevant laws.
Maintenance of Platform Integrity: The following activities are expressly forbidden:
Creating or operating multiple accounts, or using fake identities, to influence the outcome of a Pact
Employing any means to manipulate or exploit the mechanics of the Platform in a manner that guarantees success without bona fide participation or effort
Attempting to manipulate Nox AI through adversarial inputs, synthetic media, or coordinated deceptive submissions
11. SUSPENSION & TERMINATION
Your account may be suspended or terminated if You fail to comply with these Terms or Platform Policies.
The Company may terminate your membership, delete your profile, and/or prohibit you from using or accessing the Platform for any reason, or no reason, at any time in its sole discretion, with or without notice, including if it believes that You are under eighteen years of age.
You may terminate your membership at any time for any reason. If you are participating in an ongoing Pact at the time of account deletion, your accountability records for that Pact will be preserved for other Participants, but you will no longer receive notifications or be able to submit new proof.
Enforcement and Consequences
Violations of these Terms may result in account suspension, permanent bans, or legal action under Indian law.
Severe violations (e.g., hacking, child exploitation, inciting violence, CSAM) will be reported to Indian cybercrime authorities.
Nox reserves the right to audit and investigate any suspicious activity.
12. REGISTRATION AND ACCOUNTS
You are solely responsible for maintaining the confidentiality of the password associated with your Nox account and for restricting access to your password, your computer and mobile device while logged into the Services. You accept responsibility for all activities that occur under your account. You agree to immediately notify Nox of any unauthorized use of your account or password, or any other breach of security.
If you connect your account to third-party authentication providers (Google, Apple), you agree to comply with the terms and conditions and policies applicable to such third parties.
You agree to keep your password secure and acknowledge that You are responsible for all activity under Your account. We reserve the right to remove, reclaim, or modify any username at our sole discretion if it is deemed inappropriate, offensive, or otherwise objectionable.
You agree to: (a) provide true, accurate, current and complete information about Yourself ("User Data") and (b) maintain and promptly update the User Data. You agree to create only one account for your own personal use and not share Your account with others.
13. PAYMENTS, FEES AND TAXES
Free Tier
Free tier Users receive:
A limited Nox AI token allowance that refreshes daily, covering interactions with Nox AI and background processing tied to those interactions.
The ability to create and operate up to one (1) active Pact as creator at a time.
The ability to participate in up to one (1) active Pact as a joined participant (a Pact created by another User) at a time.
The ability to invite friends to the active Pact You created.
A Pact is considered "active" while its status is live. Drafts and closed Pacts do not count toward these limits. These limits apply going forward; Pacts You are already participating in at the time these terms take effect are preserved, but joining a new Pact may be blocked if You are at the participation limit.

Subscription pricing is displayed in-app at the point of purchase and in the applicable app store listing, and is subject to the terms of the Apple App Store or Google Play Store.
Billing and Taxes
All subscriptions are processed through Apple App Store or Google Play Store via RevenueCat.
Billing, taxes, and payment processing are handled by the respective app store in accordance with their terms of service.
Subscriptions automatically renew unless cancelled through your app store account settings.
Refunds and cancellation terms are governed by our separate Cancellation and Refund Policy, as well as the applicable app store's refund policies.
Subscription fees are solely for access to Nox AI features and expanded platform capabilities. No portion of the subscription facilitates monetary transfers between Users.
14. RESPONSIBILITY FOR CREATION / ACCEPTANCE OF PACTS
You acknowledge that the Platform and Company are not responsible for any Pacts created on the Platform.
You bear full legal responsibility for any Pact that violates these Terms or any applicable laws in India.
You acknowledge that your relationship with the Platform does not create any confidential, fiduciary, or other special legal relationship.
You voluntarily undertake that the Pacts You create/join are for personal growth and accountability. While Nox provides AI-powered coaching tools and suggestions, these do not constitute professional medical, psychological, fitness, or wellness advice. Your success or failure in achieving personal goals is solely your responsibility.
While the Pacts hosted on the Platform are intended to promote positive behavioural change, personal growth, and improved outcomes, Nox specifically makes no representations, warranties, or guarantees regarding the effectiveness, success, or results of any Pact.
Participation in any Pact is entirely voluntary and undertaken at your own risk. Nox does not assume responsibility for any failure to achieve intended results and shall not be held liable for any loss, whether physical, psychological, or otherwise, arising from participation in any Pact.
15. USE OF YOUR CONTENT AND PROFILE INFORMATION
15.1 Profile Visibility Within the Platform
By using the Services, you agree that other Users within the Platform may see your profile name, profile photo, and in-Pact activity, including leaderboard rankings, streaks, Integrity Score, and proof submissions for Pacts you have joined, as required for the accountability features of the Platform to function.
For multiplayer Pacts, other Participants may be able to view the list of Users enrolled, your progress status, leaderboard ranking, streaks, and any proof submissions you upload. This transparency is intended to promote accountability, encourage community engagement, and maintain Pact integrity.
You may manage certain visibility preferences through your account settings; however, participation in multiplayer Pacts requires a minimum level of information disclosure to ensure fair play and verification. By joining such Pacts, you consent to this level of visibility.
15.2 Our Use of Your Content
When you use Nox, you may provide input to the Services ("Input") and receive output from Nox AI based on that Input ("Output"). Input and Output are collectively "Content."
We use Content to provide and maintain the Service, including to:
(a) operate Nox AI coaching conversations; (b) personalise your in-app experience through Nox AI, long-term memory, and usage context; (c) evaluate proof submissions, including extracting structured information needed for verification; and (d) provide Pact Chat assistance, moderation support, and rule clarifications.
These uses are core to Nox and are required for the Service to function.
Separately, Nox may use eligible Content and related usage patterns to improve, evaluate, fine-tune, or train the AI systems that power Nox.
Opt-out: If you do not want us to use your future Content to fine-tune or train our models, you can opt out at any time in Settings → Data Controls. Opt-out applies to new Content going forward; Content that has already been used to train a model version cannot be retroactively removed from that model. Opt-out does not disable Nox AI, long-term memory, personalisation, proof verification, or Pact Chat assistance, which are required for the Service to function. We may continue to use aggregated and de-identified information regardless of your opt-out setting.
15.3 Your Data Rights
You may request a complete copy of your personal data at any time by emailing support@nox.today. A secure download link will be delivered to you within 30 days.
For detailed data rights (access, rectification, erasure, portability, restriction, objection, grievance redressal) and the specific procedures applicable to you, refer to our Privacy Policy.
15.4 Marketing, Measurement, and Analytics Partners
To operate and grow Nox, we work with analytics and attribution partners that help us understand how the app is used, how our marketing performs, and what kinds of Users find Nox valuable. This enables us to:
measure which marketing channels drive installs and engagement;
analyse User behaviour in aggregate to improve product, onboarding, and Nox AI quality;
build audiences of Nox Users on social media platforms so we can reach similar prospective Users through our own campaigns; and
exclude existing Users from acquisition campaigns where appropriate.
What we do not do: Nox does not sell personal data. We do not give your Nox AI conversations, Pact content, proof submissions, profile data, or any other content you create on the Platform to advertisers, data brokers, or third parties so they can advertise their own products or services to you. Information shared with our analytics, attribution, and advertising platform partners is limited to pseudonymous identifiers, device information, and in-app event data, and is processed under contracts that require these partners to use it solely to provide services to Nox, not for their own independent advertising or for other advertisers.
16. INTERACTIONS WITH OTHER USERS
The Services provide a platform for Users to interact through several surfaces:
Pact Chats: Group conversations with co-Participants of a Pact you have joined
Friend Requests: Connecting with other Users; you may send, accept, or decline friend requests
Pact Invitations: Inviting other Users to a Pact you have created (subject to the Pact's privacy setting), or receiving invitations from others
Profile Viewing: Viewing another User's public profile, including display name, avatar, Integrity Score, and public Pacts they participate in. Private Pacts are visible only to their Participants.
Direct User-to-User messaging outside of Pact Chats is not currently supported. Conversations with Nox AI are User-to-AI and are not visible to other Users.
As a neutral facilitator, we do not control the accuracy, quality, legality, or safety of content posted by Users, nor do we verify the qualifications, background, or abilities of Users.
16.1 Groups
Groups are user-created communities that aggregate Pacts for shared discovery and accountability.
Public Groups: Discoverable by any User. Any User may join a public Group without approval. Pacts associated with a public Group that are themselves public are visible to all Group members and to Users browsing the Group.
Private Groups: Visible only to invited Users or Users who obtain a shared link. To join a private Group, a User must send a join request to the Group's creator, who may accept or decline at their sole discretion. Private Groups and their associated private Pacts are visible only to members.
Pacts displayed within a Group follow the visibility rules of the Pact itself. A private Pact inside a public Group remains visible only to its Participants.
16.2 Moderation and Privacy in Shared Spaces
Nox enforces these Terms and Platform Policies across all communication surfaces on the Platform, including Pact Chats, Group spaces, and profile interactions. We reserve the right to review, moderate, and remove content at our sole discretion as described in Section 9 and Section 18.
That said, we cannot prevent other Users from copying, screenshotting, or externally sharing content you post in shared spaces. Do not share anything in a public Pact, public Group, or public profile that you are not comfortable with other Users seeing.
Nox shall not be held liable for misuse by other Users of content you voluntarily shared in shared spaces, but we will investigate reported violations in accordance with Section 27.
17. THIRD-PARTY SERVICES
The Platform relies on several third-party service providers to deliver its features. These include, but are not limited to:
Clerk: Authentication and identity management
OpenAI: Large language models that power Nox AI's coaching, conversations, and proof verification
RevenueCat: Subscription and billing management
Cloudflare R2: File and media storage (proof submissions, profile images)
OneSignal: Push notification delivery
Resend: Transactional email delivery
Sentry: Error tracking and crash reporting
Mixpanel: Product analytics and feature usage measurement
AppsFlyer: Install attribution and marketing campaign measurement
Freepik: Licensor of certain graphic and illustration assets used within the Platform
When you engage with any third-party service through the Platform, you acknowledge that these services operate under their own terms of service and privacy policies. We are not liable for any interactions, transactions, or disputes with third-party providers, or for changes to their terms, service interruptions, or data handling practices.
We may provide links to third-party websites or resources. We do not endorse or take responsibility for any content, products, or services available on such external sites.
18. ELECTRONIC COMMUNICATIONS
The Services enable you to interact with other Users through Pact Chats, friend requests, Pact invitations, and profile viewing, as described in Section 16. You agree to use these communication tools only for their intended purpose and in compliance with applicable laws.
We may monitor or archive communications in accordance with applicable laws and our moderation responsibilities. All notices, disclosures, and other communications provided electronically will satisfy any legal requirements for written communication.
19. PROPRIETARY RIGHTS
The Platform, including software, aggregated data, AI models, and proprietary algorithms, contain proprietary and confidential information protected under intellectual property laws. Except as permitted by law, you shall not modify, rent, lease, sell, distribute, or create derivative works based on the Platform and Services without prior authorisation.
All trademarks, logos, and branding elements related to the Services are the exclusive property of the Platform. You may not use these trademarks without prior written permission.
All names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights accrued during the creation of a Pact on the Platform belonging to any person, entity or third party are recognised as proprietary to the respective owners.
20. CLAIMS OF INFRINGEMENT
If you believe that any content on the Platform infringes upon your copyright or trademark rights, you may submit a notice requesting removal. The notice must include:
Your name, contact details, and a statement of your ownership rights
Identification of the infringing content and its location on the Services
A statement affirming that you believe in good faith that the content is not authorised by you, your agent, or the law
A statement confirming the accuracy of your claim under penalty of perjury
If necessary, we shall endeavour to remove the content in compliance with applicable laws.
21. FEEDBACK
If you provide comments, feedback, suggestions, ideas, or other communications regarding the Services ("Feedback"), You hereby grant to Nox a worldwide, non-exclusive, transferable, assignable, sub-licensable, perpetual, irrevocable, royalty-free license to copy, distribute, create derivative works of, publicly display and perform and otherwise exploit such Feedback. For this reason, do not send Nox any Feedback that you do not wish to license to us.
22. DISCLAIMER OF WARRANTIES AND LIABILITY
THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT AVAILABLE THROUGH THE PLATFORM ARE PROVIDED TO YOU "AS IS" AND WITHOUT WARRANTY. NOX AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES WITH REGARD TO SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT, INCLUDING, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. NOX AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) YOUR CONTENT WILL BE AVAILABLE OR THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) THE QUALITY OF ANY SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
YOU EXPRESSLY AGREE THAT NOX IS NOT PROVIDING MEDICAL, PSYCHOLOGICAL, NUTRITIONAL, FITNESS, LEGAL, FINANCIAL OR WELLNESS ADVICE VIA THE SERVICES. THE CONTENT PROVIDED THROUGH THE SERVICES, INCLUDING ALL AI-GENERATED COACHING, SUGGESTIONS, INSIGHTS, AND RECOMMENDATIONS, IS NOT INTENDED TO BE AND SHOULD NOT BE USED IN PLACE OF (A) THE ADVICE OF YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS, (B) A VISIT, CALL OR CONSULTATION WITH YOUR PHYSICIAN OR OTHER MEDICAL PROFESSIONALS, OR (C) INFORMATION CONTAINED ON OR IN ANY PRODUCT PACKAGING OR LABEL. YOU EXPRESSLY AGREE THAT ANY ATHLETIC OR PHYSICAL ACTIVITIES CARRY CERTAIN INHERENT RISKS OF BODILY INJURY OR DEATH AND THAT YOU VOLUNTARILY ASSUME ALL KNOWN AND UNKNOWN RISKS ASSOCIATED WITH THESE ACTIVITIES EVEN IF CAUSED IN WHOLE OR PART BY THE ACTION, INACTION OR NEGLIGENCE OF NOX OR BY THE ACTION, INACTION OR NEGLIGENCE OF OTHER USERS.
YOU EXPRESSLY AGREE THAT NOX DOES NOT ASSUME RESPONSIBILITY FOR THE INSPECTION, SUPERVISION, PREPARATION, OR CONDUCT OF ANY TASK, CHALLENGE, OR GROUP ACTIVITY CREATED UNDER A PACT.
YOU EXPRESSLY AGREE TO RELEASE NOX, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, REPRESENTATIVES, EMPLOYEES, PARTNERS AND LICENSORS (THE "RELEASED PARTIES") FROM ANY AND ALL LIABILITY IN CONNECTION WITH YOUR USE OF THE PLATFORM AND PROMISE NOT TO SUE THE RELEASED PARTIES FOR ANY CLAIMS, ACTIONS, INJURIES, DAMAGES, OR LOSSES ASSOCIATED WITH SUCH USE. YOU ALSO AGREE THAT IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH (a) YOUR USE OR MISUSE OF THE SERVICES, (b) YOUR USE OF NOX AI IN ANY OF ITS SURFACES, (c) YOUR DEALINGS WITH THIRD-PARTY SERVICE PROVIDERS, (d) ANY DELAY OR INABILITY TO USE THE SERVICES, OR (e) ANY INFORMATION, SOFTWARE, SERVICES OR CONTENT OBTAINED THROUGH THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF NOX HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES.
NOX DOES NOT ENDORSE USER CONTENT AND SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY TO ANY PERSON OR ENTITY FOR ANY LOSS, DAMAGE, INJURY, CLAIM, LIABILITY OR OTHER CAUSE BASED UPON OR RESULTING FROM ANY CONTENT ON THE SERVICES.
23. INDEMNITY
You agree to indemnify and hold Nox and its subsidiaries, affiliates, directors, officers, agents, representatives, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: content you submit, post, transmit or otherwise make available through the Platform; your use of the Services (including Nox AI and athletic activities in connection with Pacts); your connection to the Services; your violation of the Terms; your violation of any data protection or privacy laws; or your violation of any rights of another person or entity.
24. DISPUTE RESOLUTION
If any dispute arising out of, or in connection with, the Services provided by Nox via the Platform, including the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the User(s) or Nox ("Dispute"), the disputing parties shall endeavour to settle such Dispute amicably. The attempt to bring about an amicable settlement shall be considered to have failed if not resolved within 30 (thirty) days from the date of communicating the Dispute in writing.
If a dispute cannot be resolved through amicable negotiation, either Party may initiate proceedings. The competent court of Gandhinagar, India has exclusive jurisdiction to settle any dispute or claim which may arise out of or in connection with these Terms, its subject matter or formation (including non-contractual disputes or claims). The Parties irrevocably submit to the exclusive jurisdiction of such court and waive any objection to proceedings in such court on the ground that the proceedings have been brought in an inconvenient forum.
25. CANCELLATION OR TERMINATION
You may cancel or delete your account at any time by contacting support@nox.today or through your account settings. You have the right to request the deletion of your User Data at any time. Detailed provisions regarding data deletion and retention are provided in the Privacy Policy.
You agree that Nox may, under certain serious circumstances and without prior notice, immediately suspend or terminate your account and/or access to the Services. Cause for such action includes, but is not limited to: (a) breaches or violations of the Terms or other Platform Policies, (b) requests by law enforcement or other government agencies, (c) a request by you, (d) discontinuance or material modification to the Services, (e) unexpected technical or security issues, (f) extended periods of inactivity, and/or (g) nonpayment of any fees owed in connection with the Services.
Termination of your account may include: (a) removal of access to all offerings within the Services, (b) deletion of your information associated with your account in accordance with our data retention policies, and (c) suspension from further use of the Services.
The following sections shall survive termination: Proprietary Rights, Disclaimer of Warranties and Liability, Indemnity, Dispute Resolution, and General.
26. LEAVING OR CANCELLING A PACT
You may leave any Pact you have joined at any time through the Pact's interface. Leaving a Pact does not automatically delete your historical activity on that Pact.
Nox reserves the right to cancel any Pact in the following circumstances:
Nox's moderation team intervenes due to a violation of these Terms, Platform Policies, or applicable law
A major Platform error, security breach, or technical fault materially compromises the integrity of the Pact
For any other Pact-related requests, please contact us at support@nox.today. Such requests will be considered on a case-by-case basis at the Platform's sole discretion.

28. GENERAL
You agree that no joint venture, partnership, joint controllership, employment or agency relationship exists between you and Nox as a result of these Terms or your use of the Services. These Terms constitute the entire agreement between you and Nox with respect to your use of the Services. The failure of Nox to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions remain in full force and effect.
You may not assign, delegate or otherwise transfer your account or your obligations under these Terms without the prior written consent of Nox. Nox has the right to transfer or assign all or any part of its rights under these Terms and may delegate or use third party contractors to fulfil its duties.
Nox's notice to you via email, regular mail, in-app notifications, or posts on the Services shall constitute acceptable notice under these Terms.
A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent as other business documents originally generated and maintained in printed form.
Section titles and headings are for convenience only and have no legal or contractual effect. Any rights not expressly granted herein are reserved.
29. MODIFICATION OF THE TERMS AND SERVICES
Nox reserves the right to update these Terms at any time and for any reason in its sole discretion.
Nox will notify you in advance of any material changes to these Terms. By continuing to access or use the Services after notification of a modification, you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Services.
Nox reserves the right at any time to modify or discontinue, temporarily or permanently, the Services or any portion thereof with or without notice. You agree that Nox shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.
30. DISCLAIMERS REGARDING APPLE AND GOOGLE
It is explicitly stated that Apple Inc. and Google LLC are not sponsors of, nor are they affiliated with, any Nox Pact, challenge, or any other Service offered on the Platform. Neither Apple nor Google endorse, administer, or provide any services in connection with the Platform beyond their roles as app store distributors and subscription billing processors.
